Terms of Service
Definitions and Interpretation
- Agreement: These Terms of Service together with the SLA and DPA.
- Customer Data: All data uploaded or input by the Customer into the Platform.
- Platform: The VouchrPulse cloud-based customer relationship management (CRM) software.
- Provider: VouchrPulse, its owners, operators, and subsidiaries.
- Customer: The business entity subscribing to and using the Platform.
Fees, Billing, and Renewals
- Subscription Term: Fixed monthly or annual periods renewing automatically unless cancelled in writing.
- Payment Processing: All billing and subscription transactions are securely processed by Stripe.
- Price Adjustments: Right to increase fees with 30 days' advance notice before renewal.
- VAT: All stated fees exclude UK Value Added Tax, which is added at the standard rate.
- Non-Refundable: Payments are non-refundable except where explicitly required by UK law.
Telecommunication & Usage Policies
- Carrier Services: Telecommunication features (SMS, WhatsApp, and phone number rental) are powered by Twilio.
- Compliance: Customer must comply with all regional telecommunication laws, network carrier guidelines, and anti-spam regulations.
- Usage Charges: Telecommunication usage fees are billed separately based on consumption rates.
- Number Ownership: Phone numbers rented through the platform remain the property of the underlying carrier network.
Intellectual Property and Ownership
- Platform Rights: Provider owns all rights, titles, and interests in the CRM software.
- Data Rights: Customer retains sole ownership of all uploaded Customer Data and business leads.
- License Grant: Customer grants Provider a limited license to host data solely to run the service.
Limitation of Liability
- Business-to-Business: Terms exclude implied statutory warranties to the fullest extent permitted by UK law.
- Liability Cap: Total liability is capped at 100% of fees paid in the previous 12 months.
- Third-Party Infrastructure: Provider is not liable for disruptions caused by Stripe, Twilio, or DigitalOcean.
- UK Law Exception: Nothing limits liability for death, personal injury caused by negligence, or fraud.
Termination and Data Deletion
- Convenience: Either party may terminate by providing 30 days' written notice before the next cycle.
- Material Breach: Immediate termination allowed if either party breaches terms and fails to cure in 14 days.
- Data Retrieval: Customer has 30 days post-termination to download data before permanent deletion.
Governing Law and Jurisdiction
- English Law: This Agreement is governed by the laws of England and Wales.
- Exclusive Jurisdiction: The courts of London hold exclusive jurisdiction over any legal disputes.
